TERMS AND CONDITIONS AGREEMENT

This Terms and Conditions Agreement ("Agreement") is entered into effective [DATE] by and between [Client Name] ("Client") and Alt Cutman, a digital marketing agency ("Alt Cutman").

WHEREAS, the Client wishes to engage Alt Cutman to provide digital marketing services as specified herein;

NOW THEREFORE, in consideration of the mutual covenants contained in this Agreement, the parties agree as follows:

1. Services

1.1 Alt Cutman offers three service packages: Standard, Professional, and Platinum. The scope of services included in each package is detailed in separate package contracts.

2. Fees and Payment

2.1 Sign Up Fee. The Client shall pay a one-time, non-refundable sign-up fee before services commence to cover initial setup and system configuration.

2.2 Monthly Fees. Recurring monthly service fees shall be charged after the system goes live. Discounts may apply, potentially delaying the start date.

2.3 Additional Charges. The Client may incur additional charges for supplementary services including:

(a) Email Marketing: $0.675 per 1,000 emails via third-party mailbox.

(b) Email Validation: $2.50 per 1,000 emails validated.

(c) AI Content Creation: $0.09 per 1,000 words generated.

(d) Conversation AI (chatbots, automated booking): Per pricing schedule.

(e) Review AI (automated responses): $0.08 per response.

(f) Phone and SMS Integration: Approximately $0.02 per message per provider rates.

2.4 Payment. The Client agrees to pay the total fees for services during the Project Term. Payment shall be made on or before the Term start date. Failure to remit payment may result in termination of this Agreement by Alt Cutman.

3. Guarantees and Bonuses

3.1 Cancellation. The Client may cancel services at any time, but the monthly fee for the current billing cycle is non-refundable.

3.2 Setup Time. Typical setup time ranges from 5 to 10 business days per package.

3.3 Training. One-time training for service usage is included.

3.4 Bonuses. Package-specific bonuses are included per the separate package contracts.

4. General Provisions

4.1 Refunds. The sign-up/setup fee is non-refundable.

4.2 Billing. Monthly billing begins when the system goes live, subject to applicable discounts.

4.3 Third-Party Charges. The Client may incur charges from third-party service providers for certain functionalities.

4.4 Limitation of Liability. Alt Cutman shall not be liable for any indirect, special, consequential, or incidental damages arising from this Agreement, even if advised of such potential damages. Alt Cutman is not liable if the Client's accounts or profiles are disabled or restricted by web-based platforms in a manner preventing service provision. The Client is responsible for appeals in such circumstances under Alt Cutman's guidance.

4.5 Confidentiality. Alt Cutman agrees to maintain confidentiality of all Client information, including trade secrets, business plans, customer lists, etc. and not disclose it to third parties without prior written consent.

4.6 Termination. Non-payment by the start of the Term may result in termination of this Agreement by Alt Cutman.

4.7 Governing Law and Jurisdiction. This Agreement shall be governed by the laws of the state where Alt Cutman's business is located. Jurisdiction for any legal actions shall lie in the federal courts of the United States or state courts where the business is located.

4.8 Entire Agreement. This Agreement constitutes the complete understanding between the parties regarding the subject matter and supersedes any prior negotiations or agreements.
